General Terms and Conditions
The following terms and conditions apply to every order placed with Zimmer + Rohde, Ltd.
Terms
Net 30 terms are considered past due at 31 days. In the absence of an open account, all charges are payable in advance-ProForma. Custom fabrics require a 50% non-refundable deposit. Up to 10 % overage will be shipped and invoiced on custom fabric orders.
Prices
Prices are subject to change without notice. Prices do not include freight and/or handling charges. All prices quoted in our current price lists are NET, F.O.B. point of origin. Prices should be checked with our main office or the nearest showroom before ordering.

All checks require the payee to be Zimmer + Rohde, Ltd. Without exception.

Please include your account number and invoice number(s) on your check, this will insure accurate and timely credit to your account.
We also accept Mastercard, Visa and American Express. Collection fees and/ or attorney fees incurred by the company in collecting payments are the responsibility of the customer and must be repaid in full to Zimmer + Rohde, Ltd. Prior to resuming business.
A service charge of $ 50.00 will be assessed for every returned check. We will re-deposit returned checks only once.
Credits
Credits will be carried for one year from date of issue. During that period you may apply the credit to a purchase or you may request a refund. These requests must be received in writing. All credit balances will be reflected on your monthly statements.
Minimums
2 yards of fabric and trim
2 rolls of wallpaper
Orders below the minimum will be charged a $ 50.00 cut fee per item below the minimum.
When Ordering
- A signed purchase order is essential. Telephone orders must be confirmed in writing.
- Always designate name, number and color. Care in ordering avoids costly errors.
- Always provide cut lengths required for draperies.
- Orders are subject to our acceptance with issuance of formal order acknowledgments. Our order confirmations are final and binding. Any subsequent requests for changes are subject to our ability to confirm. No salesperson, agent or representative is authorized to alter our terms or conditions of sale.
- We may require full or partial payment before shipment of certain large orders, without regard for the credit terms assigned to the account. Proforma orders will not be placed until payment is received in full. Once payment is received, orders will be non-cancellable and non-refundable.
CFA (Cutting for Approval)
- All CFAs require approval within 10 business days.
- CFAs are not available for special production items, discontinued items, wallcoverings or trimmings.
Reserves
Reservations will be accepted for stocked goods up to two weeks (10 business days) in advance of the order. All reserves will automatically expire after 10 business days.
Shipping
Zimmer + Rohde will arrange product shipments with an additional shipping fee unless customer choses to use their own carrier. Any shipments returned to Zimmer + Rohde as a result of the customer’s failure to accept delivery or delay will require the customer to all additional costs incurred by Zimmer + Rohde including but not limited to storage fees. Any shipping claims must be reported to your Zimmer + Rohde Customer Service Representative within 5 days of delivery date. Shipping prices are subject to change at any time without notice.
If the client choses to use their own carrier, shipping instructions as to carrier and routing should be given at the time an order is placed. Client is then responsible for any additional shipping charges including but not limited to duties and taxes. All products are shipped at purchaser’s risk and Zimmer + Rohde is not responsible for delays, failure of delivery, loss or damage in transit or storage.
For larger orders special handling may be required and therefore a custom freight quote will be provided. Quotes are subject to change within 14 business days and will need to be requoted once the goods are available to ship. Customer must approve new quote before shipping or can change the shipping method to Client’s Own Carrier.
Storage Fees
Additional storage fees of 3% per month will be charged to store merchandise if not picked up within 60 days from the date of final invoice.
Partial Shipments
We reserve the right to make partial shipments as merchandise is ready, and invoices covering these shipments are to be paid as they become due.
Quality Limitations
- Fabrics not guaranteed against fading, wearing or shrinkage.
- Fabric widths and repeats may vary.
- Fabrics with repeats are not cut by repeat. It is the customer’s responsibility to account for additional yardage needed.
- Because of variations in dyes, dye lots, yarns, spinning lots and weavers, shipped fabric may vary from original sample. A cutting of the current stock can be sent upon request.
- Repeats and width variations up to 3% fall within normal industry standards and cannot be accepted as a reason for complaint or return.
- Printed fabrics, though often hung against the light, cannot be guaranteed to be free of visible variations in the ground texture when so used.
- All fabrics respond to changes in atmospheric conditions to some degree. It is reasonable to expect dimensional fluctuations of up to 3%.
- Use only cleaning methods as indicated.
- All goods are inspected carefully prior to shipment, however certain products are naturally irregular. Slubs and variations in color and texture are inherent to certain goods and do not constitute flaws.
Cancellation
No order may be cancelled without our consent. All cancellations are subject to a 25% restocking fee. Orders in transit are non-cancellable. Any order requiring special production cannot be cancelled.
Returns
- No return of merchandise will be accepted without prior written consent and shipping instructions. Returns are approved at the discretion of Zimmer + Rohde only. Unauthorized returns will be refused and returned freight collect.
- A 25% handling charge will be made on all fabric yardage returned.
- No fabrics may be returned until the client receives a Return Goods Authorization number which must be marked on the package for return to Zimmer + Rohde.
- No custom order will be accepted for return.
- Fabric pieces of less than 10 yards are not returnable.
- Goods are not returnable after 30 days from date of invoice.
- Discontinued items, custom orders, purchase samples, and sample books are not returnable at any time.
- Freight charges are not refundable.
- Trimmings and Wallcoverings are not returnable.
Claims
- No claim will be allowed after a product has been cut or finished regardless of the reason for the claim. Claims must be submitted in writing within ten days from the date of receipt of the product.
- NO LABOR COSTS WILL BE ACCEPTED.
- We are not responsible for freight damage when the shipping method is Client’s Own Carrier.
Liability
All good are supplied by us on condition that our liability for any fault or defect in the quality, condition, description or fitness for any purpose, is limited in amount to a sum not exceeding the purchase price of the particular goods. In no circumstances whatsoever shall the company be liable for indirect or consequential loss or damage.
Additional Policies
Zimmer + Rohde will set its products according to the terms and conditions described herein, and rejects terms and conditions included in purchase orders received from its customer.
